The
following samples and templates are from "Handbook for Starting
a Successful Nonprofit," published by the Minnesota Council of
Nonprofits. The Handbook includes lots of helpful information
for people who are interested in starting a nonprofit including:
sample position descriptions for
board members; information on common management
issues for nonprofits; a glossary of nonprofit terms; and copies
of all of the government forms that a new nonprofit will need to file
with the Minnesota Secretary of State's Office, Minnesota Attorney
General's Office, Minnesota
Department of Revenue and Internal

Articles of Incorporation
The articles of incorporation set up the basic terms of the
corporation, such as its purpose and board of directors.

Bylaws
The
bylaws serve as the nonprofit's rule book. Chapter 317A of the
Minnesota Statutes is the basis for Minnesota’s nonprofit law, and
therefore a organization’s bylaws must follow this law. However,
there is substantial flexibility to writing the organizational
bylaws to fit the uniqueness of an organization. From nonprofit to
nonprofit, bylaws will vary according to the many decisions made by
the organization's founders board members. One of the most
important choices is whether to have members. Because this one
decision can radically affect a nonprofit's bylaws, two sets of
sample bylaws are provided.
